1. Introduction, purpose, and acceptance
For more than a century, Ohlthaver & List Finance and Trading Corporation Limited (OL) has grown hand in hand with Namibia, shaping industries, livelihoods, and possibilities since 1919.
From humble beginnings as a family enterprise to becoming one of Namibia’s most influential corporate citizens, OL’s story has always been powered by our people - from welders, brewers, butchers, engineers, accountants, hoteliers, dreamers to individuals who poured passion and purpose into our collective vision.
The OL Legends Alumni Programme (“the Programme”) was established to honour that legacy. It celebrates those who built OL’s story, connects generations across time and keeps the heartbeat of the OL Persona alive by being authentic, caring, and passionate within those who have been part of the OL family.
By accessing or using any Programme websites, digital platforms, events, or communications (“the Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree to these Terms, kindly refrain from using or participating in the Programme.

3. Membership and eligibility
3.1 Who can join?
Membership is open to former employees of OL or any of its operating companies who meet the eligibility criteria and are approved by OL.
- Eligibility is assessed on length of service, exit circumstances and alignment with the OL Persona.
- The confirmed baseline for Alumni Membership is a minimum of five years of continuous service, provided the former employee left in Good Standing.
- OL reserves its rights to allow membership to persons who do not fully meet the eligibility criteria, but who made a meaningful contribution to OL’s legacy.
- Membership remains discretionary. It is not automatic and it is not an entitlement.
- Membership is based on alignment with the OL Persona and the spirit in which a former employee left the Group. Membership is discretionary. It is not automatic. It is not an entitlement.
3.2 Access and participation
- Membership is personal and non-transferable.
- Participation in events or communications imply consent to receive alumni-related updates and invitations.
- Members may adjust their communication preferences or opt out of non-essential communications at any time by written request.
3.3 Membership categories
- Alumni Members are approved former employees who meet the eligibility criteria.
- Honourary Members are individuals recognised and approved by OL for exceptional or lifetime contribution to OL’s legacy, culture, values, or story.
- Membership categories do not create any legal entitlement to benefits, employment, re-employment, invitations, discounts, access to facilities or other entitlements or privileges. Participation in specific activities may be selected, curated and subject to availability and programme requirements.
3.3.1 Persons not eligible for membership
Former employees will not qualify for membership where their separation from OL involved conduct that materially conflicted with the OL Persona of being Authentic, Caring and Passionate.
This includes, but is not limited to dismissal for misconduct, including –
- Fraud, theft, or dishonesty.
- Harassment, discrimination, or abusive behaviour.
- Gross negligence.
- Serious breach of company policy.
- Breach of trust or confidentiality.
- Behaviour that caused harm to colleagues, customers, communities or an OL brand, product, or service.
- Termination following disciplinary action where the conduct was inconsistent with the OL Persona.
- Resignation in lieu of disciplinary action, including “asked to leave” scenarios.
- Separation linked to legal, ethical, or reputational risk to OL.
- Ongoing disputes, claims or unresolved matters that may affect trust, reputation, or brand integrity.
3.3.2 Case-by-casereview
OL recognises that not every exit fits neatly into a simple category.
Some former employees may have left under circumstances that require context, fairness, and careful judgement. These cases will be reviewed before a final decision is made.
This may include:
- Employees affected by restructuring, redundancy, or operational changes.
- Employees who exited during business closures, mergers, or role changes.
- Complex exits where the full context matters.
- Cases where there is no misconduct, but where reputational, relational, or timing factors need to be considered.
The purpose of the review is to ensure that OL does not exclude candidates unfairly, while also protecting the Group from including individuals whose membership could create legal, cultural, reputational or brand risk.
3.3.3 Behavioural commitment
Eligibility is ongoing. It is not only based on past employment.
All OL Legends members are expected to uphold the OL Persona publicly and professionally.
Members commit to:
- Acting as positive ambassadors of OL.
- Respecting the OL brand, goods, services, values, and reputation.
- Protecting confidential or sensitive company information.
- Engaging with current and former employees in a respectful manner.
- Representing the spirit of being Authentic, Caring and Passionate.
- Supporting the purpose of Creating a Future, Enhancing Life.
3.3.4 Membership reviewor revocation
Membership may be reviewed, suspended, or revoked if a member’s conduct materially conflicts with the OL Persona or creates legal, reputational, cultural or brand risk for OL.
This includes conduct that undermines trust, damages the OL name, breaches confidentiality or conflicts with the values of being Authentic, Caring and Passionate.
4. Conduct and communitystandards.
The OL Legends community is founded on authenticity, respect, and shared purpose. Members are expected to uphold these principles in all interactions.
Prohibited conduct.
Members shall not:
- Use the Programme or platform for commercial solicitation, recruitment, or political promotion.
- Use the platform to recruit OL employees, promote services, sell products, gather business leads, or approach OL stakeholders without prior written approval.
- Publish or distribute material that is defamatory, discriminatory, or inappropriate.
- Engage in harassment, hate speech or behaviour contrary to the OL Persona.
- Speak on behalf of OL, issue public statements, comment to media or imply official representation unless authorised in writing.
- Post content that damages the reputation of OL, its brands, goods or services, discloses confidential information, misrepresents the Programme or conflicts with the OL Persona.
- Misrepresent their identity, qualifications, or affiliation with OL.
- Breach confidentiality undertakings or share proprietary information of or relating to OL.
Mentorship and engagement etiquette
Members who participate as mentors, mentees or event speakers must maintain professionalism, respect confidentiality, and commit to constructive, empowering dialogue. OL reserves the right to moderate or remove any content or participant that, in OL’s view (reasonably exercised) breaches these standards with or without prior notice.
5. Intellectual Property (IP)
- All logos, trademarks, content, platform design and other IP owned OL remains the exclusive property of OL.
- Members are granted a limited, non-exclusive, non-transferable option to access and use OL’s IP solely for their non-commercial, personal and permitted participation in the Programme.
- Members retain ownership of content they post but grant OL a worldwide, royalty-free, perpetual license to use, reproduce and display that content in connection with the Programme. Members warrant they have the right to share such content.
6. Data protection privacy
6.1 Data collection
OL collects and processes personal data necessary to manage the Programme, including:
- Contactand professional details
- Career updates and engagement activities
- Media (photos, videos) from events
By attending any OL Legends event, Members consent to being photographed and or recorded and for OL to use such material unless the Member opts out in writing prior to or during the event.
6.2 Purpose of use
Data is used for:
- Communication and event management.
- Networking facilitation and mentorship matching.
- Alumni recognition and storytelling.
- Programme analytics and improvement.
6.3 Privacy
We may need to obtain personal information from you in the course of providing some of the services or content. Personal information is any information about you that identifies you, or by which your identity can reasonably be ascertained.
Our Privacy Policy sets out how we can collect, hold, and use your personal information. This Privacy Policy also forms part of these Terms.
6.4 Data sharing
Information may be shared with trusted third parties or OL subsidiaries involved in Programme operations, under strict confidentiality and in compliance with applicable data protection laws and best practice.
6.5 Member rights
Members may request access, correction or deletion of their data or withdraw consent for communications, by contacting the Company Secretary at Legal@ol.na.
7. Liability and warranties
7.1 Disclaimer of warranties
OL makes no warranties or representations, express or implied, regarding the accuracy, reliability, completeness or timeliness of information, services or products provided through the Programme.
7.2 Limitation of liability
- To the maximum extent permitted by law, O&L will not be liable, whether in contract, delict or otherwise for any loss, damage or injury arising directly or indirectly from any use of the online platform, Legends events or engagements. While we endeavour to keep information up to date, we cannot and do not guarantee the accuracy and completeness of this information.
- OL is not liable for the actions, content or conduct of any Programme participant (e.g., in networking or mentorship interactions).
7.3 Indemnification
By enrolling, the Member agrees to indemnify, defend and hold harmless OL and its officers, directors and employees from any claims, liabilities, damages and expenses (including legal fees) arising from the Member's violation of these terms.
8. Termination and suspension
OL reserves the right to suspend or terminate membership at any time if a member:
- Transgresses these Terms.
- Misuses Programme resources or branding.
- Acts in a way that may harm the reputation of OL or the Programme.
Members may voluntarily cancel their membership at any time by notifying OL in writing.
9. Conflict of interest
Members must not use the Programme to obtain confidential information, influence OL employees improperly, promote competing interests or create conflicts of interest.
10. Governing lawand dispute resolution
The laws of Namibia govern your interaction with the Programme and these terms. Any legal action against us must be taken in a Namibian court of law.
11. Variations of Terms
We can change these terms at any time, without notice to you by updating them on the online platform. The revised terms will take effect when they are posted, and your continued use of the online platform will represent an agreement by you to be bound by the amended terms.
12. Force majeure
We are not liable in respect of anything that, but for this provision, would or might constitute a breach of these terms and conditions, where this arises out of circumstances beyond our control, including but not limited to casus fortuitus, acts of God, natural disasters, sabotage, accident, riot, pandemic, shortage of supplies, equipment or materials, strikes and lockouts, civil commotion, computer viruses or hacking, breakdown of equipment, power supply failure or telecommunications failure, or malicious damage (Force Majeure).
13. Moderation Powers and Complaint Procedure
OL may, acting reasonably and in line with these terms:
- Review, edit, remove, or decline content that is inappropriate, inaccurate, misleading, confidential, defamatory, discriminatory, unlawful, or contrary to the OL Persona.
- Restrict, suspend, or remove access to any Programme platform, event, activity, or communication channel.
- Issue a warning or request corrective action from a Member.
- Require a Member to remove or correct content relating to OL, the Programme, or other Members.
- Limit or cancel a Member’s participation in selected Programme activities.
- Refer serious matters for further internal review.
- Suspend or terminate membership where conduct materially conflicts with the OL Persona or creates legal, reputational, cultural or brand risk for OL.
- OL may take immediate moderation action without prior notice where it reasonably believes this is necessary to protect confidentiality, safety, legal compliance, reputation, brand integrity, or the proper functioning of the Programme.
14. Complaint Procedure
Any Member, current employee or stakeholder may submit a complaint about conduct, content, misuse of the Programme or any matter affecting the integrity of OL Legends.
Complaints must be submitted in writing to the OL Legends Alumni Programme Administration and should include:
- The name and contact details of the complainant.
- The name of the person or matter complained about, where known.
- A clear description of the concern.
- Relevant dates, screenshots, documents or supporting information, where available.
- OL will acknowledge receipt of the complaint within a reasonable time and may request further information if needed.
- OL will conduct a preliminary review to determine whether the complaint falls within the scope of the Programme and whether immediate action is required.
- Where appropriate, OL may give the affected Member an opportunity to respond before a final decision is made. OL may limit this step where urgent action is required, where confidentiality must be protected or where the matter involves legal, safety or reputational risk.
- After review, OL may take one or more of the following actions:
- Dismiss the complaint if it is unfounded or outside the scope of the Programme.
- Resolve the matter informally through clarification, guidance, or corrective action.
- Issue a warning.
- Remove or correct content.
- Restrict access to Programme activities or platforms.
- Suspend membership pending further review.
- Terminate membership.
- Refer the matter to the appropriate internal or external process where required.
- OL will manage complaints as confidentially as reasonably possible. Information may be shared only with those who need to know for purposes of review, decision-making, legal compliance, or protection of OL’s interests.
- Members must not victimise, intimidate, or retaliate against any person who raises a complaint in good faith. Retaliation may result in moderation action, suspension, or termination of membership.
- OL’s decision on complaints and moderation matters will be final unless OL resolves that a further internal review is appropriate.
15. Severability
- If any provision of these Terms is found to be unlawful, invalid, or unenforceable by a competent authority or court, that provision will be treated as separate from the remaining provisions.
- The remaining provisions will continue to apply and remain in full force and effect.
- Where possible, the affected provision will be interpreted or adjusted only to the extent necessary to make it lawful, valid, and enforceable, while still giving effect to the original purpose of these terms and the OL Legends Programme.
16. No Waiver
If OL does not immediately enforce any right, remedy, or provision under these terms, this does not mean that OL waived that right, remedy, or provision.
Any delay, failure, or partial exercise of a right by OL will not prevent OL from exercising that right in future.
A waiver will only be valid if it is made in writing by an authorised representative of OL.
